1. Who these terms are between
These terms are between you and the operator of the TokenOS DeAI marketplace ("we", "the platform"). The legal entity operating the service, the country it operates from, and how to reach us are stated in the Privacy notice. By creating an account, topping up a balance, renting compute, registering a node, or purchasing a Deploy a Node order, you accept these terms.
2. Accounts and roles
An account is identified by an email address, an optional Solana wallet address, or both. One account may hold the buyer role, the operator role, or both. You are responsible for the security of your password, your wallet, and any API keys you create; API keys act with the permissions you assign them and can be revoked at any time from the portal.
We may disable an account that violates these terms. A disabled account cannot create new rentals or withdrawals; existing balances remain recorded and are handled under section 6.
3. Payment and the platform balance
Rentals are paid from a pre-loaded platform balance, denominated in US dollars. You fund it by sending USDC on Solana to the deposit address shown in the portal, or by card through our payment processor. An on-chain deposit is credited once the transaction is final on Solana under the confirmation policy in force at the time; until then it is pending, and the portal retries the credit rather than asking you to pay again. On-chain deposits must come from a wallet you control and can prove control of; deposits from exchange or custodial addresses may not be attributable to you and may be delayed or refused. Card payments are credited when our payment processor confirms them.
The balance is custodial: it is a record of value we hold for you, not a wallet you control. Lifetime totals shown in the portal are accounting summaries; the transaction ledger on the same page is the record.
4. Renting compute
A rental is priced at the moment you confirm it, as a total for the requested duration at the published rate for the GPU class, and that total is debited from your balance or paid on chain before any machine is allocated. On-demand and spot rentals are metered per minute once active; stopping early refunds the unused portion of the total to the balance it was paid from, less at least one minute of use. Hourly rentals are billed for the hours requested at one twenty-fourth of the daily rate. We may require you to verify your identity with a government photo ID through our verification provider before you can rent; a verification is valid for 24 months, and the portal tells you when this applies.
Spot rentals are discounted and preemptible: when on-demand demand for the same GPU class exceeds supply, a spot rental may be terminated with a ninety-second warning and the unused portion refunded. No scheduling preference is sold with a spot rental beyond that discount and that exposure.
Reserved rentals commit you to a term of 7, 30 or 90 days, billed in full when you confirm and non-refundable on early termination. A reserved contract is a paid claim on operator uptime for that term; it grants no access to any particular node, and no capacity guarantee or fence is sold with it. Reserved rentals are exempt from spot preemption.
Access is delivered as SSH credentials scoped to the rental; the session token is revoked when the rental ends. The hardware and software delivered are the operator's; the platform routes, meters and settles, and does not warrant a particular driver, image, GPU model or performance level. For most classes, the GPU class shown to you is capped at what a benchmark run by the operator's own software attested, so a class above that hardware is not advertised. For a few classes the benchmark cannot tell them apart and the operator's declaration stands. Either way that benchmark is self-reported and we do not inspect the hardware ourselves, so confirm it at the start of a rental.
5. Delivery commitment
Our availability commitment, the automatic credit it earns when missed, and exactly how delivery is measured are published on the Service level agreement page. Credits issued under it are non-cashable compute credit applied to your next purchase; they are never paid out.
6. Withdrawals
You may withdraw your platform balance as USDC to a Solana wallet you have linked and proven control of. Withdrawals are subject to the controls the portal shows you at the time: a pause for a period after any deposit to the balance, an email confirmation step for withdrawals above a threshold, and review by a person before funds are sent. Where we enable automatic approval of small withdrawals, it is capped per day and does not apply for a period after a payout wallet is changed. We may require identity verification before a withdrawal, may screen the destination wallet against sanctions lists through our verification provider, and may hold a withdrawal for manual review; a held withdrawal is not lost, and we will tell you it needs review. A withdrawal request is debited from your balance when it is made; a request that is rejected, fails, or is cancelled is credited back in full. Non-cashable credit (section 5) is never withdrawable.
7. Operators
If you register a node, you warrant that you control the hardware, that the GPU class you declare is accurate, and that buyers' workloads run in isolation from your own. The platform asks your agent to run a benchmark and publishes the lower of your declaration and what that benchmark attests, so declaring a class above your hardware does not make it appear as more. We do not inspect your hardware ourselves, so an inaccurate declaration is a breach of this warranty rather than something we will catch for you. You are paid service fees for the compute work your node actually serves: for each completed rental, a share of what the buyer paid, computed per rental and credited to an operator balance we hold. Those fees depend entirely on buyer demand and may be zero in any period; time online by itself is not paid. Credited fees become withdrawable after the UTC day they were earned has ended plus a cooldown, and are paid out on the rails and under the controls published in the operator portal, including identity and wallet checks where enabled. Nothing here is a promise of income. Public listing of your node and your operator profile is on by default and you can turn it off in settings; doing so removes you from the operator catalog, the public search, your profile page and the bulk machine-readable feeds, which all read the same listing preference, and does not affect rentals already running.
7a. Deployed nodes
You may order a GPU node that we source, provision and register to your operator account, at the price shown at checkout, paid in USDC, from your platform balance, or by card. Your order waits until we have sourced the hardware; while it is still waiting you can cancel it yourself from the portal and the payment is refunded automatically on the rail you paid with. Once provisioning has started, cancellation and any refund are at our discretion, and a node that has been provisioned is not refundable.
A deployed node is paid exactly as any other node under section 7: service fees for the rentals it actually serves, which depend on buyer demand and may be zero in any period. The purchase price is not repaid through those fees. The purchase buys hardware provisioning and hosting, not a share in the platform and not a right to any income, and nothing in this section is a promise of income or of a return on the purchase.
8. Acceptable use
You may not use rented compute to attack the platform, other tenants, operators or third parties; to mine or stake on someone else's account; to process data you have no right to process; or to evade the metering, limits or controls described here. You may not register nodes you do not control or misrepresent their hardware. We may terminate a rental or disable an account for a violation, and a terminated rental is refunded only as section 4 describes.
9. Disclaimers and liability
The service is provided as described in these terms and on the SLA page. Except for the delivery commitment there, we make no warranty about fitness for a particular purpose, uninterrupted availability, or the conduct of independent operators. Our liability to you for any rental is limited to the amount you paid for it; the SLA credit is the remedy for measured non-delivery.
10. Changes and contact
We may change these terms; the effective date at the top moves when we do, and material changes are announced in the portal before they apply to new rentals. Questions go to the contact address in the Privacy notice, which is also where governing law and venue are addressed.
